ListBuddy ("ListBuddy", "we", "us", or "our") is a software-as-a-service product operated by Karl Bordt, an individual sole proprietor based in Fairfield, New Jersey, United States. References to "Service" mean the ListBuddy web application at app.listbuddy.org, the ListBuddy Chrome extension, the API at api.listbuddy.org, and the marketing site at listbuddy.org.
References to "you" or "Customer" mean the individual or business that creates an account or pays a subscription fee. You must be at least 18 and legally able to enter into binding contracts.
ListBuddy helps eBay sellers source listings from Amazon and other retailers, manage pricing, send customer-service messages, and (in the future) auto-fulfill orders. The Service interacts with third-party platforms (primarily eBay and Amazon) using credentials you provide.
Reports, bookkeeping, and tax outputs are informational only. The Reports section of the app, Schedule-C estimates, quarterly summaries, expense tables, and any other financial figures the Service displays or exports are provided as a convenience for your own record-keeping. They do not constitute tax, accounting, legal, or financial advice. You are solely responsible for the accuracy of your tax filings and should consult a qualified CPA or tax professional before relying on any number produced by the Service.
AI-generated content. Portions of the Service use third-party AI models (currently Google's Gemini API) to generate listing titles, descriptions, and product attributes from source product data. AI-generated content may contain errors, omissions, or inaccuracies and is provided as a draft for your review. You are solely responsible for reviewing and approving any listing before it is published, and you remain responsible for the accuracy, legality, and compliance of every listing on your eBay account.
The Service is currently offered as a Public Beta. You acknowledge and accept that during the beta period:
You are responsible for everything that happens under your account. Keep your password and any API tokens you give us confidential. Notify us at support@listbuddy.org immediately if you suspect unauthorized access.
You must provide accurate information at signup and keep it current. We may suspend or terminate accounts that supply false information, use the Service in violation of these Terms, or that pose a fraud or chargeback risk.
New customers may receive a 7-day free trial on any tier. You must provide a valid payment method to start a trial. Your card is not charged during the trial. The trial converts automatically to a paid subscription at the end of the trial period unless you cancel before the trial ends.
Only one trial is available per customer, ever. Switching tiers, canceling and resubscribing, or creating a new account with a different email after a prior trial does not entitle you to an additional trial. We may detect and consolidate duplicate accounts.
Subscriptions auto-renew at the end of each billing period (monthly or yearly, depending on the plan you chose) at the then-current rate. You authorize us to charge the payment method on file for each renewal. Billing is handled by Stripe, Inc., subject to Stripe's terms.
You may cancel your subscription at any time via the in-app billing portal. Cancellation takes effect at the end of your current billing period. You retain access until then. You are responsible for cancelling before the next renewal date if you do not want to be charged.
The 7-day free trial is provided specifically so you can evaluate the Service without risk. Once the trial converts and your card is charged, the charge is final. Cancellation prevents future charges but does not refund the current period.
This no-refund policy is a material term of your purchase. If you do not agree to this, do not purchase a subscription.
Chargebacks. If you initiate a chargeback or payment dispute without first contacting us at support@listbuddy.org and giving us at least 7 days to resolve the issue, we reserve the right to (a) suspend or terminate your account; (b) recover all chargeback fees, costs, and reasonable collection expenses from you; and (c) submit evidence to your card network including these Terms, your acceptance record, and your usage logs.

We may suspend or terminate accounts that violate these provisions, and any subscription fees you have paid will not be refunded under Section 5.
ListBuddy is not affiliated with, endorsed by, or sponsored by eBay, Amazon, or any other retailer. You are solely responsible for complying with the rules of those platforms. ListBuddy does not guarantee that the Service or your use of it will be compatible with, permitted by, or remain functional under those platforms' policies, which may change at any time.
If eBay, Amazon, or another platform restricts, suspends, or bans your account for any reason (including reasons related to your use of ListBuddy), that is between you and that platform. We are not liable for any loss of access, listings, sales, or revenue resulting from such actions, and no refund will be issued.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, RELIABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LISTBUDDY (INCLUDING ITS OPERATOR, AFFILIATES, OR CONTRACTORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR EBAY/AMAZON ACCOUNT STANDING, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO LISTBUDDY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend, indemnify, and hold harmless ListBuddy and its operator from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or platform terms; or (d) any listing, sale, or order you process using the Service.
We may terminate or suspend your access immediately, without prior notice and without refund, for conduct that we believe violates these Terms, harms other customers or third parties, or exposes us to legal risk. On termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including no-refund, liability, indemnification, governing law) will survive.
Cancellation cleanup of ListBuddy-created listings. The eBay listings that ListBuddy created for you (via Auto-List, single-product listing, or any other publishing path inside the Service) are part of the Service deliverables. When your subscription is canceled, terminated, or otherwise ends, we will end those listings on eBay using your stored authorization. This typically takes 1 to 3 days to complete due to API rate-limit safety. We do not touch listings that existed on your eBay account before you connected ListBuddy, and we do not touch listings created outside the Service. If you re-subscribe before the cleanup process completes, any not-yet-ended listings are restored to active.
Your underlying eBay seller account, your order history, your sales records, and your buyer relationships are not affected by this cleanup. Only the live listings published through ListBuddy are removed.
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.
Mandatory pre-dispute notification. Before initiating any legal action, you must first contact us at support@listbuddy.org with a written description of the dispute and at least thirty (30) days to attempt informal resolution. Most issues are resolved this way.
Any unresolved dispute will be submitted to binding arbitration under the rules of the American Arbitration Association in Essex County, New Jersey, on an individual (not class) basis. You and we both waive any right to a jury trial and to participate in a class action arising from these Terms or the Service.
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date at the top and notify active customers by email at least 14 days before the change takes effect. Continued use of the Service after a change means you accept the new Terms. If you do not accept, your remedy is to cancel before the change takes effect (Section 4.3).
These Terms (plus the Privacy Policy) are the entire agreement between you and ListBuddy regarding the Service. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms; we may assign them in connection with a sale of the business.
